Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the website, digital services, content, features, and other services made available by 株式会社DreamsGate (“DreamsGate,” “we,” “us,” or “our”).

By accessing, browsing, submitting information through, registering for, purchasing from, or otherwise using our website or services, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, please do not use our website or services.

1. About DreamsGate

株式会社DreamsGate is a Japan-based company engaged in activities that may include information technology, software and digital platform planning, development and operation, IT consulting, business process optimization, digital transformation support, sports technology, and related services.

DreamsGate may develop, own, operate, license, or support individual products, platforms, applications, and services, including sports-related digital services such as Spolinka.

Certain DreamsGate products or services may be governed by separate or additional terms, policies, agreements, rules, or notices. Where separate terms apply to a particular service, those terms will govern that service to the extent of any inconsistency with these general Terms.

2. Eligibility

You may use our website only if you are legally capable of entering into a binding agreement under applicable law.

If you use the website or services on behalf of a company, team, club, organization, agency, or other legal entity, you represent that you have authority to act on behalf of that entity and bind it to the applicable Terms.

Where a service permits use by minors, additional requirements, restrictions, parental or guardian consent, or separate terms may apply.

3. Our Services

Information presented on this website describes DreamsGate, its products, technology, consulting capabilities, projects, partnerships, and other business activities.

Descriptions of services, features, availability, pricing, functionality, roadmaps, expected results, or future capabilities are provided for general information and may change.

Unless expressly stated in a written agreement, information appearing on the website does not constitute a binding offer, guarantee, warranty, professional commitment, or promise that DreamsGate will provide a particular service or functionality.

We may introduce, modify, suspend, replace, restrict, or discontinue any website feature or service where reasonably necessary for business, operational, technical, security, compliance, or legal reasons.

4. Accounts and Registration

Certain DreamsGate services may require an account.

You agree to provide information that is accurate, current, and complete and to keep relevant account information updated.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity performed through your account to the extent permitted by applicable law.

You must not knowingly allow unauthorized persons to access your account.

If you believe that your account, password, credentials, or personal information has been compromised, you should notify DreamsGate promptly using the contact information provided by the relevant service.

We may require additional verification where reasonably necessary to protect users, DreamsGate, other organizations, or the integrity of our services.

5. Acceptable Use

You must use our website and services lawfully and responsibly.

You must not:

  • use our services for unlawful, fraudulent, deceptive, abusive, discriminatory, threatening, or malicious activities;
  • impersonate another person or organization or materially misrepresent your identity, authority, qualifications, affiliations, or relationship with another party;
  • submit information you know to be false, misleading, fraudulent, defamatory, or unlawfully obtained;
  • attempt to gain unauthorized access to accounts, systems, databases, networks, infrastructure, or restricted areas;
  • introduce malware, malicious code, automated attacks, or other technologies intended to damage, disrupt, overload, extract from, or compromise our systems;
  • bypass or attempt to bypass security, access controls, technical restrictions, rate limits, or authentication mechanisms;
  • scrape, crawl, harvest, systematically download, or extract data except where expressly authorized by DreamsGate or permitted by applicable law;
  • use our services to infringe intellectual property, privacy, publicity, confidentiality, contractual, or other rights of any person or organization;
  • interfere with another user’s legitimate use of our services;
  • use information obtained through our services for unauthorized surveillance, harassment, spam, fraud, identity theft, or other harmful purposes; or
  • use DreamsGate’s name, brands, systems, services, or content in a manner that falsely suggests endorsement, partnership, certification, sponsorship, or authorization.

We may investigate suspected violations and take proportionate action where necessary to protect users, our systems, or third parties.

6. User Content and Information

Some DreamsGate services may allow users to submit, upload, publish, store, transmit, or otherwise provide information, documents, images, profiles, messages, files, or other materials (“User Content”).

You retain ownership of your User Content to the extent that you own it.

By submitting User Content to a DreamsGate service, you grant DreamsGate the rights reasonably necessary to host, store, process, reproduce, transmit, display, format, and otherwise handle that content for the purpose of providing, securing, maintaining, improving, and administering the relevant service, subject to applicable law and our Privacy Policy.

You represent that you have the necessary rights, permissions, and lawful basis to provide the User Content you submit.

DreamsGate does not acquire ownership of your User Content merely because you use our services.

7. Privacy and Data Protection

We take the privacy and security of users seriously.

Our collection, use, storage, sharing, retention, and other processing of personal information is governed by our Privacy Policy and applicable data protection laws.

Where applicable, this includes Japan’s Act on the Protection of Personal Information (APPI) and other laws that may apply depending on the location of the user or nature of the service.

Please review our Privacy Policy carefully to understand how personal information is handled.

8. Security

DreamsGate implements organizational, technical, and administrative measures that we consider appropriate to the nature of our services and information processed.

However, no internet service, network, software system, or method of electronic storage or transmission can be guaranteed to be completely secure.

Users are responsible for taking reasonable measures to protect their devices, accounts, credentials, and information.

Nothing in these Terms excludes responsibilities that cannot lawfully be excluded under applicable data protection, consumer protection, or other mandatory laws.

9. Intellectual Property

Unless otherwise stated, the website and its associated software, designs, interfaces, text, graphics, logos, trademarks, service names, databases, documentation, processes, technology, and other materials are owned by or licensed to DreamsGate and are protected by applicable intellectual property laws.

Except as expressly permitted by DreamsGate or applicable law, you may not copy, reproduce, modify, republish, distribute, sell, sublicense, commercially exploit, reverse engineer, or create derivative works from DreamsGate intellectual property.

No provision of these Terms transfers ownership of DreamsGate intellectual property to users.

All rights not expressly granted are reserved.

10. DreamsGate and Spolinka

Spolinka is a sports technology platform developed and/or operated within the DreamsGate business ecosystem.

References to athletes, teams, organizations, agents, agencies, scouts, sponsors, fans, opportunities, contracts, statistics, achievements, verification, or other sports-related information appearing through Spolinka or related DreamsGate services should not automatically be interpreted as an endorsement, guarantee, certification, employment relationship, agency relationship, or representation by DreamsGate.

Where Spolinka is governed by separate Terms of Service, those terms will apply to use of the Spolinka platform.

11. Third-Party Information

Our website or services may contain information supplied by users, customers, partners, sports organizations, service providers, public sources, or other third parties.

DreamsGate may implement processes intended to improve accuracy, safety, authenticity, or reliability, but we cannot guarantee that all third-party information will always be complete, current, accurate, or error-free.

Users should independently verify information where it is material to a financial, contractual, employment, sporting, professional, or other important decision.

12. Third-Party Services and Links

Our services may integrate with or contain links to websites, applications, payment providers, cloud services, social networks, business systems, or other services operated by third parties.

Third-party services are governed by their own terms and privacy practices.

DreamsGate is not responsible for the availability, security, content, policies, or actions of independent third-party services, except to the extent responsibility cannot be excluded under applicable law.

The inclusion of a third-party link does not necessarily constitute endorsement by DreamsGate.

13. Professional and Business Information

Content made available through our website is generally provided for informational purposes.

Unless DreamsGate has expressly agreed otherwise in a separate professional services agreement, statement of work, engagement letter, or other written contract, website content does not constitute legal, tax, accounting, investment, employment, immigration, medical, or other regulated professional advice.

Customers should obtain appropriate professional advice where necessary for their particular circumstances.

14. Consulting and Professional Services

IT consulting, implementation, development, integration, digital transformation, system configuration, project support, or other professional services provided by DreamsGate may be governed by separate contracts, proposals, statements of work, purchase orders, or service agreements.

Where such an agreement exists, that agreement governs the applicable engagement.

Project outcomes may depend on customer requirements, third-party systems, data quality, infrastructure, external providers, regulatory requirements, customer decisions, and other circumstances outside DreamsGate’s reasonable control.

15. Fees and Payments

Certain DreamsGate products or services may require payment.

Applicable fees, taxes, billing periods, payment conditions, renewal terms, cancellation rights, and refund conditions will be communicated through the relevant service, order, proposal, contract, or checkout process.

Users are responsible for providing accurate billing information and paying amounts properly due.

Nothing in these Terms limits cancellation, refund, cooling-off, or other consumer rights that apply mandatorily under applicable law.

16. Availability and Maintenance

We aim to provide reliable services but do not guarantee uninterrupted or error-free availability.

Services may occasionally be unavailable because of maintenance, upgrades, security incidents, telecommunications failures, cloud infrastructure problems, third-party service interruptions, force majeure events, or circumstances beyond our reasonable control.

Where practicable, DreamsGate may provide notice of significant planned interruptions.

17. Changes to Services

Technology and business requirements evolve.

DreamsGate may modify its website, products, features, user interfaces, integrations, technical infrastructure, or service offerings.

Where a material change significantly affects an existing paid service or users’ legal rights, we will provide notice where required by applicable law or contract.

18. Suspension and Termination

DreamsGate may restrict, suspend, or terminate access to a service where reasonably necessary, including where:

  • these Terms or applicable service terms are materially violated;
  • fraudulent or unlawful activity is reasonably suspected;
  • another person’s rights or safety may be threatened;
  • continued access presents a material security risk;
  • payment obligations remain overdue;
  • an account is being used without authorization;
  • required by law, regulation, court order, or competent authority; or
  • continued operation of the service is no longer reasonably practicable.

Where appropriate and legally permissible, we may provide notice and an opportunity to remedy a violation before termination.

Users may stop using our services at any time, subject to any applicable contractual, payment, cancellation, retention, or account-deletion provisions.

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, our website and services are provided on an “as available” basis.

DreamsGate does not guarantee that every service will be uninterrupted, completely error-free, or compatible with every device, system, network, browser, third-party service, or business process.

Nothing in these Terms excludes warranties, statutory guarantees, or other rights that cannot lawfully be excluded or limited.

20. Limitation of Liability

To the maximum extent permitted by applicable law, DreamsGate will not be liable for indirect, incidental, special, consequential, or punitive losses arising from use of or inability to use our website or services, including loss of profits, opportunities, anticipated savings, goodwill, or data, except where such liability cannot lawfully be excluded.

Where DreamsGate is legally permitted to limit its aggregate liability in connection with a paid service, any applicable limitation may be further specified in the contract or service-specific terms governing that service.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by law, including liability arising from intentional misconduct or gross negligence where such exclusion or limitation is not legally permitted.

21. User Responsibility

Users remain responsible for decisions they make based on information obtained through our services.

DreamsGate provides technology and services but does not automatically become a party to transactions, negotiations, employment relationships, representation arrangements, sponsorship agreements, sporting agreements, or other relationships entered into between independent users or third parties.

Service-specific terms may establish additional responsibilities where DreamsGate facilitates particular transactions.

22. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold DreamsGate and its officers, employees, and representatives harmless from third-party claims, losses, liabilities, damages, and reasonable costs arising from your unlawful use of the services, your material breach of these Terms, your infringement of another person’s rights, or User Content that you were not legally entitled to provide.

This provision does not apply to the extent a claim or loss was caused by DreamsGate’s own conduct or where such indemnification would be prohibited by applicable law.

23. Confidentiality

Information identified as confidential or which reasonably should be understood to be confidential must not be disclosed or used except for the purpose for which it was provided, unless disclosure is authorized or required by law.

Specific confidentiality obligations applicable to customers, partners, contractors, or professional engagements may be established through separate agreements.

24. Feedback

If you voluntarily provide suggestions, ideas, recommendations, or other feedback concerning DreamsGate products or services, DreamsGate may use that feedback to develop and improve its business and services without an obligation to compensate you, provided that doing so does not grant DreamsGate ownership of your confidential information or other intellectual property beyond the feedback itself.

25. Electronic Communications

By communicating with DreamsGate electronically, you acknowledge that certain notices and communications may be delivered electronically where permitted by law.

Users are responsible for keeping relevant contact information current.

26. Force Majeure

DreamsGate will not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, earthquakes, fires, floods, war, terrorism, civil disturbance, epidemics, government action, major telecommunications failures, widespread cloud or infrastructure outages, or other comparable events, subject to applicable law.

27. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, technology, business operations, legal requirements, or security practices.

The latest version will be published with an updated “Last Updated” date.

Where required by law or where changes materially affect existing users’ rights, we will provide appropriate notice.

Continued use after an updated version becomes effective constitutes acceptance only to the extent permitted by applicable law.

28. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in effect to the extent legally possible.

29. No Waiver

Failure by DreamsGate to enforce a provision of these Terms does not constitute a waiver of that provision or of our right to enforce it later.

30. Assignment

Users may not transfer contractual rights or obligations relating to DreamsGate services without our prior consent where such consent is legally permissible to require.

DreamsGate may transfer its rights or obligations in connection with a merger, acquisition, corporate restructuring, transfer of business, or similar transaction, subject to applicable law and protection of users’ rights.

31. Governing Law

Unless mandatory law provides otherwise, these Terms and disputes arising from them are governed by the laws of Japan, without regard to conflict-of-law principles.

32. Jurisdiction

Unless mandatory law provides otherwise, disputes arising out of or relating to these Terms or the DreamsGate website will be subject to the exclusive jurisdiction of the competent court having jurisdiction over the location of DreamsGate’s principal office in Japan as the court of first instance.

Nothing in this section deprives consumers of protections or jurisdictional rights that cannot legally be waived.
